The agreement between you and Riffl.

1 · Who we are and acceptance

Riffl is operated by Riffl Ltd ("Riffl," "we," "us"), a company registered in Nigeria (RC 9685707). These Terms of Use ("Terms") are a binding agreement between you and us. By downloading, accessing, or using Riffl (the "Service"), you accept these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2 · Eligibility

You must be at least 18 years old and able to form a binding contract to use Riffl. The Service is offered initially to users in Nigeria; you are responsible for complying with the laws of your location.

3 · What Riffl is (and isn't)

Riffl helps you capture expenses from photos of receipts and bank/fintech screenshots, organise them, and review your spending. It stores your data primarily on your device.

• Not financial advice. Riffl provides tools and summaries for your own reflection. It does not give financial, investment, accounting, or tax advice, and you should not rely on it as such.
• Not a bank or payment service. Riffl holds no funds, makes no payments, and is not connected to your bank or any payment rail.
• Not a lender or debt collector. The "Money owed" feature is a private record-keeping aid for informal loans you choose to note. Riffl does not lend, broker, fund, guarantee, or collect any debt, and records you keep in Riffl do not by themselves create, prove, or enforce any legal obligation between you and another person.

4 · Your licence to use Riffl

We grant you a personal, limited, non-exclusive, non-transferable, revocable licence to use the Service for your own personal, non-commercial expense tracking (or internal business record-keeping where a business plan is offered), subject to these Terms.

5 · Acceptable use

You agree not to:

• Use Riffl for any unlawful purpose, or to process data you have no right to process.
• Reverse-engineer, decompile, or attempt to extract source code, except to the extent the law expressly permits.
• Interfere with, overload, or attempt to bypass the security, rate limits, or scan-credit metering of the Service.
• Resell, sublicense, or commercially exploit the Service or AI-extraction capacity except as expressly permitted.
• Upload content that is illegal, infringing, or that you are not authorised to share.

6 · Your content and data

You own the data and images you put into Riffl ("Your Content"). You grant us only the limited licence necessary to operate the Service for you — for example, to transmit an image to our extraction provider when you use AI capture, and to display and process Your Content within the app. We do not claim ownership of Your Content and we do not sell it. Our handling of personal data is described in the Privacy Policy.

7 · AI extraction

AI capture is optional. When you use it, an image or text is sent to a third-party AI provider (Anthropic) via our proxy to suggest transaction details. AI output may be inaccurate or incomplete. You are responsible for reviewing and correcting every result on the Confirm screen before relying on it. We do not warrant the accuracy of any extracted data, and you should verify figures against your own records and official statements.

8 · Riffl Plus and billing

• Plans. Some features and AI-capture allowances require Riffl Plus, a prepaid pass. Prices, allowances and inclusions are shown at the point of purchase.
• Payments. Riffl Plus is sold and billed by the app store you installed from — Google Play or Apple — and your purchase is also subject to their terms. Refunds are handled under that store's refund policy, not by us.
• Riffl Plus is a prepaid digital entitlement. It lets you use AI capture for a fixed period; it is not money, not e-money, and not a stored-value or deposit account. It is non-transferable, has no cash value and cannot be redeemed for cash.
• Renewal. Riffl Plus does not renew on its own. It runs for the period you paid for and then stops; we will not charge you again unless you buy another pass, so there is nothing to cancel.
• Refunds. Unused time on a pass is non-refundable except where required by law.
• Price changes. We may change prices prospectively with reasonable notice; changes do not affect credits already purchased.

9 · Third-party services

Riffl relies on third parties (e.g. Anthropic for AI, Google/Firebase for infrastructure, and payment processors). We are not responsible for their services, availability, or acts, and your use of features that depend on them is subject to their terms.

10 · Intellectual property

The Riffl name, brand, app, design, and software are owned by us or our licensors and are protected by law. Except for the licence in Section 4, these Terms grant you no rights in our intellectual property.

11 · Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including fitness for a particular purpose, accuracy, or uninterrupted availability, to the fullest extent permitted by law. You are responsible for maintaining your own records and backups and for the accuracy of the data you keep in Riffl.

12 · Limitation of liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or savings, arising from your use of (or inability to use) the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the 12 months before the claim. Nothing in these Terms excludes liability that cannot lawfully be excluded.

13 · Indemnity

You agree to indemnify and hold us harmless from claims arising out of your misuse of the Service, your breach of these Terms, or your violation of any law or third-party right.

14 · Suspension and termination

You may stop using Riffl at any time and delete your data from your device. We may suspend or terminate access if you breach these Terms or to protect the Service or other users. On termination, the licence in Section 4 ends; data already on your device remains yours.

15 · Changes to the Service and these Terms

We may modify the Service or these Terms. For material changes to the Terms, we will give reasonable notice (in-app or by email) and update the "Last updated" date. Continued use after changes take effect means you accept the updated Terms.

16 · Governing law and disputes

These Terms are governed by the laws of the Federal Republic of Nigeria. The courts of Nigeria have jurisdiction over any dispute, without prejudice to any mandatory consumer-protection rights you have where you live.
